Terms of service
Two agreements in one document — one for developers who show ads, one for advertisers who buy them. Section 1 applies to everybody.
1. Everyone
1.1Who can use OpenSpinner
You must be at least 18 and able to enter a contract where you live. One account per person or company. You are responsible for anything done with your account or your device tokens.
1.2What we collect
The clients report which ad was shown, for how long, on which surface, and in which country. They never read your conversations, your files, your repository names, or anything from the page in a browser. Additional attributes — your stack, your role, the tools you use — are only ever collected if you switch that sharing on, and are deleted when you switch it off.
1.3Acceptable use
Do not attempt to generate impressions or clicks that no human saw, whether by script, automation, hidden windows, or paying other people to do it. Do not attempt to interfere with the auction, other accounts, or the integrity checks.
1.4We can change this
We will post a new version here with an updated date. Continuing to use OpenSpinner after a change means you accept it. If a change materially reduces what you are owed, we will say so plainly rather than burying it.
1.5Ending it
You can stop at any time — uninstall the client, or ask us to close your account. Money already earned and settled remains yours. We may suspend or close an account that breaches section 1.3, and in that case we may withhold unpaid earnings that we reasonably believe were not genuine.
1.6Liability and law
OpenSpinner is provided as-is. We are not liable for indirect or consequential loss, and our total liability is limited to the amounts paid or payable to you in the preceding three months. Governed by the laws of [jurisdiction to be chosen].
2. Developers showing ads
2.1What you earn
You receive 60% of the gross revenue of every impression and click credited to you, or 100% during a free month earned under 2.7. A click is worth 50 impressions. Your balance is the sum of an append-only ledger you can inspect on your dashboard.
2.2What counts as an impression
An ad must be continuously visible for at least 5 seconds. Time does not accrue while the window is hidden, unfocused, or the slot is covered. Each impression carries a single-use token and is verified against our own clock, not your client’s.
Time also only accrues while your session is genuinely waiting on a model. An editor or terminal left open and idle shows no ad and earns nothing, however visible the window is. This is deliberate: an advertiser is buying a moment of attention, not the fact that a program is running.
Impressions that fail these checks are recorded and shown to you with a reason, but are not paid. Concurrent sessions belonging to the same person are counted once.
2.3Caps
Earnings are capped at $4.00 per hour and $20.00 per day. These exist so that farming pays no better than honest use. They apply to everyone.
2.4No guarantee of earnings
There is no minimum. If no advertiser bids for your surface, country or session, no ad is shown and nothing is earned. Typical earnings are small — see the calculator, which applies the caps above and does not flatter the result.
2.5Getting paid
Withdrawals are made through Stripe Connect, with a minimum of $10.00. Stripe collects your identity and tax details directly; we never see them. You are responsible for any tax you owe on what you earn.
If a transfer is later reversed by Stripe, the amount is returned to your OpenSpinner balance rather than being written off.
2.6Referrals
If someone signs up through your invite link, you earn two things once they have earned their first $2.00: a one-off $0, and 15% of what they earn for the next 90 days, counted from their first paid impression.
Both come out of our share, not theirs — they still receive their full 60%, and nothing about their earnings changes because you invited them. The 15% is a share of what they actually earned, so it can never exceed what we kept. It follows that while someone you invited is inside a free month of their own, we keep nothing from them and so you earn nothing from them for that period; we do not take it out of their 100% to pay you.
The $0 is paid once per person invited, however much they go on to earn, and only after that $2.00 threshold is genuinely met. At most 25 of your invitees pay the ongoing share at any one time. You cannot refer yourself. Attribution is set when an account is created and is never reassigned, so only one person is ever credited for the same publisher.
Referral earnings are not attention income and are not subject to the caps in 2.3. We may withhold or reverse them where the invited account’s activity was not genuine, on the same terms as 1.5.
2.7Free months
When 5 people who signed up through your invite link have each earned $10.00 or more, you keep 100% of what you earn for the next 30 days. This is in addition to 2.6, not instead of it.
It is not a one-off. Every further 5 invitees who reach that figure earn another 30 days. Months you have earned run one after another rather than at the same time, since two overlapping free months would be worth no more than one, and you may hold at most 12 unstarted months at once. While your bank is full, invitees who qualify are held rather than spent, and count towards your next month once a slot frees.
Each invitee counts once, ever. The $10.00 is measured on genuine paid impressions as defined in 2.2, so it cannot be reached by an account that was not really there. You cannot refer yourself.
A free month is granted for a fixed period and is not withdrawn if the people you invited later stop earning. Once granted it is yours for its full length. Equally, it ends when that period ends and your share returns to 60% — it is a period, not a permanent rate. We may withhold or reverse a free month where the invited accounts’ activity was not genuine, on the same terms as 1.5.
2.8Your own tools' terms
The terminal and editor clients use documented extension points and do not modify the software they run alongside. The browser extension draws a slot over pages you choose to enable. Those sites have their own terms about modifying their products, and enforcement would fall on your account with them, not on us. Enabling a site is your decision and we surface the risk before you make it.
3. Advertisers buying ads
3.1Prepaid, no contract
Credit is bought in advance, minimum $5.00. Campaigns stop serving when credit runs out — we never extend credit. Unspent credit stays on your account and can be refunded on request, less any payment processing fees already incurred.
3.2Reversed payments
If a payment is refunded, charged back, or otherwise reversed by your bank or card issuer, we remove the matching credit from your account at the moment we are notified. We do not wait for a dispute to be resolved, because inventory bought with disputed credit is delivered to developers who have already been paid for it and cannot be recovered.
If you had already spent that credit, your balance goes negative by the difference. Campaigns stop serving until it is positive again. That amount is a debt you owe us, and we may set it off against any later top-up.
3.3What you are buying
Inventory is sold in blocks of 1,000 impressions, with a reserve of $0.50 per block. An impression is a single sponsored line shown to one person for at least 5 seconds. You are not buying placement, exclusivity, or a guaranteed delivery schedule.
3.4How the price is set
The auction clears at second price: the highest bid wins and pays one increment above the runner-up, floored at the reserve plus any targeting surcharge, and never more than you bid. Bidding your true value is therefore the sensible strategy.
3.5What you are charged for
Only impressions that pass every integrity check. Short views, duplicate submissions, concurrent sessions, hidden or covered slots, and rate-limited requests are not billed. Your delivery report itemises what was filtered and why.
The slot rotates while a model is generating, so a long answer shows several ads in sequence. Your report shows where in that rotation your impressions landed.
3.6Your creative
You are responsible for what your ad says and where it links. It must be truthful, be lawful, and go to a working https destination. We will refuse or remove creative that is deceptive, impersonates someone, targets a protected characteristic, or would plainly embarrass the developers who host it. That judgement is ours.
3.7Reporting
Our measurement is what you are billed on. We publish daily delivery, filtered impressions with reasons, rotation position and clicks, and export the lot as CSV so you can reconcile it. If your own numbers disagree materially, tell us and we will look at it.
3.8Refunds
We refund impressions billed in error. We do not refund campaigns that underperformed, since delivery and clearing price are visible before and during the campaign, and you can pause at any time.
